1. About Us
These Terms of Use ("Terms") govern access to and use of the website vincitoregroup.site (the "Site"), operated by Vincitore Group S.A., a corporation organized and existing under the laws of the Republic of Panama, registered with the Public Registry of Panama, Mercantile Section, under Folio No. 155788320, with Registered Agent Gerli & Co., Global Bank Tower, 18th Floor, Suite 1801, 50th Street, Panama City, Republic of Panama ("Vincitore Group," "we," "us," or "the Company").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Nature of the Business
Vincitore Group S.A. trades crypto-assets in its own name, on its own account and at its own risk, using its own capital, for the purpose of generating profit through peer-to-peer exchange. This activity is conducted entirely outside the Republic of Panama. Counterparties who transact with the Company do so as equal, independent contracting parties and not as clients of the Company.
Consistent with this business model, the Company is not classified as an obligated subject under Panamanian anti-money laundering and counter-terrorist financing legislation (Law No. 23 of April 27, 2015), as there is currently no dedicated licensing or registration regime for virtual-asset service providers conducting proprietary trading activity entirely outside Panamanian territory. The Company voluntarily maintains an AML/CFT Compliance Program aligned with FATF recommendations.
The Company is not a provider of crypto-asset services and does not offer custody, exchange services, order execution, portfolio management, investment advice, brokerage, or any other regulated virtual-asset or financial service. Nothing on the Site constitutes a solicitation, offer, or recommendation to buy, sell, or hold any crypto-asset, security, or financial instrument, and nothing on the Site should be construed as investment, legal, tax, or financial advice.
3. No Client Relationship
Use of the Site, and any communication through the contact form, does not create a client, advisory, fiduciary, agency, partnership, or brokerage relationship between you and the Company.
4. Eligibility and Restricted Persons
The Site and any business dealings with the Company are not directed at, and may not be used by, persons or entities:
- located in, resident in, or organized under the laws of a jurisdiction subject to comprehensive sanctions by the United Nations, the European Union, the United States (OFAC), or any other applicable sanctions regime; or
- appearing on any applicable sanctions or politically exposed persons list; or
- located in a jurisdiction restricted under the Company's counterparty platforms' terms of use.
By using the Site or contacting the Company, you represent that you do not fall within any of the above categories.
5. Intellectual Property
All content on the Site — including text, graphics, logos, and design — is the property of Vincitore Group S.A. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without prior written consent.
6. Acceptable Use
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to the Site or its underlying systems; (c) interfere with the Site's operation; or (d) submit false, misleading, or fraudulent information through the contact form.
7. No Warranty
The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to accuracy, completeness, or fitness for a particular purpose. The Company does not guarantee uninterrupted or error-free access to the Site.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Vincitore Group S.A. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of, or inability to use, the Site.
9. Third-Party Links
The Site may reference third-party platforms or services (including peer-to-peer settlement platforms). The Company does not control and is not responsible for the content, policies, or practices of any third party.
10. Indemnification
You agree to indemnify and hold harmless Vincitore Group S.A., its directors, officers, and the Registered Agent from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Site.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Panama.
12. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
